End User License Agreement

Lifespark Staffing Corp -  End User License Agreement (EULA)

Effective Date: June 1, 2024

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "You") and Lifespark Staffing Corp ("Company," "we," or "us") for the use of FUEL (the "Software"). By accessing or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not use the Software.

1. License Grant

Subject to the terms of this EULA, the Company grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Software for your internal business purposes.

2. License Restrictions

You agree not to, and you will not permit others to:

  • License, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Software.

  • Modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the Software.

  • Access the Software in order to build a similar or competitive service.

  • Use the Software in any way that violates any applicable local, national, or international law or regulation.

3. Account Registration

You may need to create an account to use the Software. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account.

4. Fees and Payment

If the Software or any part of it requires a fee, you agree to pay all applicable fees as described on our website. We reserve the right to change the fees at any time upon notice to you. All fees are non-refundable unless otherwise stated and/or if a custom definitive agreement or contract has been agreed to between both parties.

5. Ownership

The Software and all rights, title, and interest in and to the Software, including all intellectual property rights therein, are and will remain the exclusive property of the Company and its licensors. This EULA does not convey to you any rights of ownership in or related to the Software.

6. Updates and Changes

The Company may from time to time provide updates, upgrades, or modifications to the Software. All such updates, upgrades, or modifications will be subject to the terms of this EULA unless otherwise specified. The Company reserves the right to modify or discontinue, temporarily or permanently, the Software or any feature or part thereof without notice.

7. Term and Termination

This EULA is effective until terminated by either party. You may terminate this EULA at any time by discontinuing use of the Software and deleting all copies of the Software in your possession. The Company may terminate this EULA at any time for any reason, including if you violate any terms of this EULA. Upon termination, all rights granted to you under this EULA will cease.

8. Disclaimer of Warranties

The Software is provided "as is" and "as available," without warranty of any kind. The Company disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, in no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Software; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Software.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees) arising out of or in connection with your violation of this EULA or your use of the Software.

11. Governing Law

This EULA shall be governed by and construed in accordance with the laws of  the state of Delaware without regard to its conflict of law principles.

12. Entire Agreement

This EULA constitutes the entire agreement between you and the Company regarding your use of the Software and supersedes all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.

13. Amendments

The Company reserves the right to amend this EULA at any time. If we make material changes to this EULA, we will notify you by email or by posting a notice on our website prior to the effective date of the changes. Your continued use of the Software after the effective date of the changes constitutes your acceptance of the amended EULA.
